(NYSE:MFE) today announced that it has entered into a definitive agreement to acquire privately owned MX Logic, Inc. for approximately $140 million in cash at closing, with an earn-out of up to an additional $30 million in cash if certain performance targets are met. Following completion of the proposed acquisition, McAfee will offer the most comprehensive and dedicated security portfolio in the market with the broadest set of delivery options including appliances, software, in the cloud or hybrid deployments. This approach will give businesses in all market segments the flexibility to purchase these solutions as standalone offerings or to mix and match these deployment choices to meet their exact needs.

The acquisition is expected to close in the third quarter of 2009, contingent upon regulatory approval and other customary closing conditions. McAfee expects the impact of the acquisition of MX Logic to be breakeven to slightly accretive in 2010 on non-GAAP earnings-per-share and more dilutive to GAAP earnings-per-share. For the remainder of 2009 we expect the impact of the acquisition to be $0.01 to $0.02 dilutive to non-GAAP earnings-per-share and more dilutive to GAAP earnings-per-share. Non-GAAP earnings-per-share will exclude the impact of amortization of acquired intangibles, stock-based compensation expense and other nonrecurring costs or charges. Cable Companies are Facing a Huge Bandwidth Crunch

If you’re starting to become frustrated with the download speed of your cable ISP or the relatively low number of HD channels available, you ain’t seen nothin’ yet. Your local cable provider will soon be faced with a serious bandwidth crunch, according to a new report released by ABI Research. The problem comes from more demanding applications, including high-definition video, video on demand, online gaming, and higher-bandwidth Internet applications. The result? Microsoft: Want a Hot Fix? Just E-Mail Us

Microsoft customers can now request a hot fix by e-mail, avoiding the hassle of reaching the company’s support staff on the phone.

In a blog post, Steve Patrick, who works in a Microsoft group within support services, provided a link to an online form where customers can enter their e-mail address and the desired hot fix by referencing its associated Knowledge Base article number. Microsoft’s support will e-mail a download link for the hot fix within eight business hours, the form notes.

Hot fixes are patches that Microsoft writes for specific, documented problems but doesn’t release to everyone via one of its update services, such as Microsoft Update. Typically, Microsoft support recommends that only users who have experienced the problem install a hot fix. Most of the time, Microsoft does not make these fixes available for downloading from its Web site; instead, it demands that users call in and explain their situation to support before it releases the patch.

Minneapolis Bridge Collapse: Why Cellular Service Goes Down During Disaster

The tragedy that unfolded in Minneapolis on Wednesday, August 1, 2007 is still being assessed, and rescuers continue to search for more of the missing. The horrifying bridge collapse, however, is yet another recent example of the power and limitations of wireless devices and networks during a disaster situation.

Emergency responders rely largely on wireless communications to coordinate operations at the scene, find those who are injured and rescue them from the wreckage. And ordinary citizens use mobile devices to alert loved ones to their status or whereabouts.

But what also usually happens near accident scenes like the one in Minneapolis is a disruption in cellular service because there’s too much radio and network congestion. Many news outlets reported that cell phone service in the greater Minneapolis area went down, citing the fact that cell phone towers and antennae were overloaded by the sheer number of users trying to place calls.

Bruce Schneier: Security as a state of mind

Bruce Schneier, CTO of BT Counterpane, has been talking about the psychology of security for some time now. In his keynote address to Black Hat on Thursday morning, Schneier said that one simply cannot quantify security because it’s also emotional. How we feel about security in a given situation can affect how secure we really are.

Schneier says we’re all security consumers; as humans, we’re constantly deciding how much time, money and effort we spend to feel secure. All animals do this. A rabbit faced with a predator has to decide whether to keep eating or simply run. Humans are both good and bad at this.
